NEW YORK and DALLAS, April 8, 2022 – Today Discovery, Inc. and AT&T Inc.* (NYSE:T) announced that they have closed their transaction to combine the WarnerMedia business with Discovery. The combination creates a premier standalone global media and entertainment company, Warner Bros. Discovery, Inc., which will begin trading on the Nasdaq with the start of trading on Monday, April 11, under the new ticker symbol “WBD.”

Warner Bros. Discovery will create and distribute the world’s most differentiated and complete portfolio of content, brands and franchises across television, film and streaming. The new company combines WarnerMedia’s premium entertainment, sports and news assets with Discovery’s leading non-fiction and international entertainment and sports businesses, including Discovery Channel, discovery+, Warner Bros. Under terms of the agreement, which was structured as a Reverse Morris Trust transaction, at close AT&T received $40.4 billion in cash and WarnerMedia’s retention of certain debt. Additionally, shareholders of AT&T received 0.241917 shares of WBD for each share of AT&T common stock they held at close. As a result, AT&T shareholders received 1.7 billion shares of WBD, representing 71% of WBD shares on a fully diluted basis. Discovery’s existing shareholders own the remainder of the new company. In addition to their new shares of WBD common stock, AT&T shareholders continue to hold the same number of shares of AT&T common stock they held immediately prior to close.

Los Angeles, CA — WarnerMedia OneFifty and Banijay Americas have joined forces to create an unparalleled partnership and incubator program designed to develop unscripted series from artists with authentic visions and perspectives. The partnership, which was designed by Axel Caballero (Head of WarnerMedia OneFifty) and Karla Pita Loor (Executive Vice President, Enterprise Inclusion & Social Responsibility at Banijay Americas) will incubate original projects from artists who have strong cultural aesthetics in the docuseries space.

Each of the selected creators will receive a grant from WarnerMedia OneFifty, in addition to development deals with participating Banijay Americas’ production studios to support their projects and prep them to sell to potential buyers. Up to five creators will be selected and there will be a submission process, details of which will be shared a later date. At the end of the incubation period, which is yet to be determined, Banijay Americas will partner with WarnerMedia OneFifty to pitch the projects with first right of refusal given to WarnerMedia properties.

WarnerMedia OneFifty Acquires Oscar-Nominated Live Action Short Please Hold for HBO Max

PLEASE HOLD is the first Live Action Short Film Oscar-nominee this season to land with a major streamer. Following a successful festival run, the film was acquired by WarnerMedia OneFifty to stream exclusively on HBO Max, where it will launch on March 17. It is directed by KD Dávila, who also wrote the film along with Levin Menekse.

Set five minutes into the future, PLEASE HOLD is a sci-fi dark comedy that follows Mateo Torres (played by Erick Lopez), a young man who is erroneously arrested by a police drone. Mateo finds himself trapped in a fully automated jail, where he must fight his way through the Kafkaesque labyrinth of a privatized justice system to find a human being who can set things right.

“The idea for the film came to us after I read this article about a Latino man who got arrested and jailed by mistake because he had a common Spanish name. He was unable to convince anyone that they had the wrong guy. Even his public defender didn’t believe him. It’s not unusual for people of color to fall through cracks in the justice system, and we wanted to look at this all-too-common story through a sci-fi and dark comedy lens. PLEASE HOLD explores what it means for people of color when the remaining human element in our justice system slowly gives way to automation and privatization,” filmmaker KD Dávila says.

Sesame Street Mecha Builders, the first of many new Sesame Workshop originals for WarnerMedia’s Cartoonito preschool programming block, is set to debut on HBO Max and Cartoon Network in early May. More animated series and specials, including newly greenlit family miniseries Charlotte’s Web, upcoming preschool shows Bea’s Block and a Sesame Street-themed reimagining of The Nutcracker, are also set to debut this year, with other exciting projects already in the works.

Sesame Street Mecha Builders reimagines Elmo, Cookie Monster, and Abby Cadabby as robot heroes in training who use their STEM superpowers to solve wacky larger-than-life problems. Animated in a dynamic 3D style, this series will help older preschoolers practice foundational critical thinking skills while laughing along with their Sesame Street friends. The first five episodes will air on Cartoonito on Cartoon Network on Monday, May 9, hitting HBO Max the following day. Launching later in the year also on Cartoonito, Bea’s Block will introduce viewers to a new world where vibrant and diverse wooden block characters-Bea and her friends-tumble, stack, and roll their way through kindness-filled adventures. Both series will include fully integrated educational curricula, engaging music, and a whole lot of heart – everything parents expect from the makers of Sesame Street.

The Max Original series helmed by acclaimed showrunner and executive producer C.H. Greenblatt (Chowder, Harvey Beaks) presents a reimagined take on the beloved cartoon characters, modernizing them for today’s family audience and introducing them to a new generation of fans. The newly announced episodes will continue expanding the kooky town of Jellystone, digging deeper into the Hanna-Barbera library to feature as many popular and obscure characters as possible.

“It’s been great to dip back into the vast world of Hanna-Barbera characters,” said Greenblatt. “Fans can expect more silly adventures from their favorite Jellystone citizens – whether that’s flying to the moon, pretending to be a sea monster to get everyone off the beach, trying to get arrested to go to a swanky jail, or overcoming other wacky obstacles.”

Season two premiering in March consists of 19 new episodes. In this next batch, fans can look forward to their favorite characters crossing paths in fun and ridiculous ways including, Augie, Shag, and Yakky accidentally turning everyone in Jellystone into babies, Jabberjaw and Loopy dressing up as sea monsters, and Yogi, Doggie Daddy, and Mildew Wolf teaming up to save the town.

The Short Films Will Premiere On HBO Max at a Later Date

HBO Max and WarnerMedia OneFifty, in partnership with six film festivals from across the U.S., announced the expansion of their annual Latino Short Film Competition, with submissions opening in March 2022.

The restructuring of the new Latino Short Film Competition presented by HBO Max will allow the streamer to tap into the vast networks of each of the six participating film festivals and continue to elevate diverse Latino voices. This year, the competition will seek films that explore the theme of “Community” from the unique perspective of a Latino American cinematic storyteller. The search will span across the top film festivals in the nation including New York, Los Angeles, Georgia, Philadelphia, Houston, and Miami. Candidates interested in participating in the competition can enter via any of the six festivals listed below. The competition will culminate with seven winning films, which HBO Max and WarnerMedia OneFifty will license to premiere on the platform at a later date. Participating film festivals include:

Animation will team up with the NBA and Turner Sports for a half-hour, commercial-free special featuring highlights from the NBA All-Star 2022 AT&T Slam Dunk. The special will be hosted by the Teen Titans who will provide their comedic brand of sports analysis direct from TNT’s Inside the NBA studios Sunday, Feb. 20 at 5:00 p.m. ET/PT on Cartoon Network, less than 24 hours after the original, full-length AT&T Slam Dunk airs on TNT.

Ahead of the 2022 NBA All-Star Game presented by Kia, Cartoon Network Special Edition: NBA All-Star Slam Dunk Contest Presented by Nike will offer a comical mashup of basketball and Super Heroes as the Teen Titans put their unique spin on this year’s AT&T Slam Dunk. Robin, Raven, Beast Boy, Cyborg and Starfire will host this special airing of the contest from Inside the NBA headquarters, sharing their colorful commentary, “professional” insights, and outlandish “Redraw Replays” that enhance the slam dunks with wildly animated overlays, crazy sound effects and surprise appearances by some of the world’s biggest cartoon stars from Warner Bros. Animation and Cartoon Network Studios. The night’s judges will include an all-star panel of Justice League team members who have honed their judging superpowers at past Teen Titans Go! “Dance-off” contests.

Fans can catch the original, full-length AT&T Slam Dunk during State Farm All-Star Saturday Night on Saturday, Feb. 19 at 8:00 p.m. ET on TNT. The NBA All-Star Game presented by Kia will air Sunday, Feb. 20 at 8:00 p.m. ET exclusively on TNT.

Additionally, fans can tune in to Cartoon Network all weekend-long Feb. 19-21 for Teen Titans Go! marathons leading into and following the Cartoon Network Special Edition: NBA All-Star Slam Dunk Contest Presented by Nike. The Super Hero weekend will culminate with a new episode of Teen Titans Go! titled, “The Drip,” premiering Monday, Feb. 21 at 5:00 p.m. ET/PT.

Produced by Cartoon Network Studios, the recently launched animated series features the lovable baby brothers Grizz, Panda, and Ice Bear as they traverse whimsical lands on their search for a place to settle in. We Baby Bears premiered on Cartoon Network earlier this month and will be available on HBO Max Monday, Jan. 31.

We Baby Bears was Cartoon Network’s #1 rated telecast for the week ending Jan. 2 and gave the network its highest rated Saturday since April 2021.* A promising launch on both linear and social, We Baby Bears reached 6 million total viewers across all telecasts on Cartoon Network through Jan. 23.
